Kelly Zong, is the daughter of China's richest man, and International Business Head of the Chinese drinks company Wahaha.

Wahaha Hunts for Global Deals on More China Competition

Hangzhou Wahaha Group Co., the beverage business owned by China’s richest man, is hunting for global acquisitions to build an overseas distribution network as economic growth slows and competition heats up at home.

The company is working with investment banks to identify food and beverage deals in Europe and Australia, Kelly Zong, head of international business and daughter of billionaire owner Zong Qinghou, said in a Sept. 11 interview. It is interested in companies that can help it source raw materials more efficiently and share distribution systems, she said.

In pursuing global deals, closely-held Wahaha follows Shanghai-based Bright Food Group Co. which agreed in May to buy a stake in U.K. cereal maker, Weetabix Ltd. Wahaha gets almost all its revenue from China, where economic growth is slowing and cost pressures are rising.

“The competition within the food and beverages sector in China remains pretty intense,” said Olive Xia, a Shanghai-based analyst at Core Pacific-Yamaichi International Ltd. “If Wahaha wants to leapfrog bigger rivals such as Tingyi, Uni-President, or Coca-Cola, it may need to rely on making overseas acquisitions.”

Wahaha reported a profit of $1 billion on $11 billion in sales last year. Its overseas drinks business, which sells tea products in South Korea and the U.K., generated about $20 million of annual sales last year, according to Zong.

Larger Competitors

By contrast, Tingyi (Cayman Islands) Holding Corp., which last year entered into a deal to become PepsiCo Inc. (PEP)’s China bottler, had 2011 sales of $7.9 billion, according to data compiled by Bloomberg. Uni-President China Holdings Ltd. (220), which sells both food and drinks, had 2011 sales of $2.6 billion.

“Acquisitions are a step we must take if we want to become a global company because it’s a fast track,” Zong said during the interview at a World Economic Forum conference in Tianjin, China. Her father founded the company 25 years ago with a $22,048 loan.

The company’s profits have helped boost the fortunes of founder Zong Qinghou, who owns more than 80 percent of Wahaha and is the 22nd richest man in the world with a net worth of $22.6 billion, according to the Bloomberg Billionaires Index.

The company may boost net income to $1.6 billion in 2012 on sales of $13.4 billion, bolstered by the Chinese government’s push to boost domestic consumption, he said in a March interview.

‘Tremendous Opportunities’

Wahaha, based in Hangzhou in eastern China, makes soda, food, baby formula and children’s apparel in its 60 factories located in 29 provinces across China. It wants to sell more nutrition drinks and sees “tremendous opportunities” in selling its tea brands overseas, Zong, the daughter, said in the interview.

An overseas deal “could help the company to improve quality control, brand image and even securing the supply of raw materials,” said Xia, the analyst at Core Pacific-Yamaichi.

Bright Food in May agreed to buy a 60 percent stake in Weetabix from private equity firm Lion Capital LLP in a deal that valued the cereal company at 1.2 billion pounds ($1.9 billion).

That is the largest of 20 food and beverage acquisitions worth $2.74 billion that Chinese firms have announced over the last three years in Europe, North America and developed Asia Pacific markets, according to data compiled by Bloomberg.

Wahaha is looking overseas as growth slows in the world’s second-largest economy, which expanded 7.6 percent in the second quarter from a year earlier, the slowest pace in three years. Inflation in China accelerated for the first time in five months in August, according to government data.

Government policies designed to boost domestic demand, including wider medical insurance plans, will shore up business, Zong said. “For the long term, I think we’ll still have very good growth because we have a large population in China.”

Larger Competitors

‘Tremendous Opportunities’

Scaring the salarymen

Fear of foreign takeovers may spur change in corporate Japan

Apr 29th 2010 | TOKYO | From The Economist print edition

MANAGERS across Japan were stunned last month when a factory belonging to Ogihara, a Japanese diemaker, was sold to BYD, a Chinese carmaker that boasts Warren Buffett as an investor. In a sign of the sensitivity of the matter, the Japanese firm tried to keep the transaction quiet, never issuing a press release and refusing all interview requests.

Japan has a long history of resisting foreigners who seek to buy their way into the country. But most recent squabbles have at least been with firms from America, a political ally. Deals involving firms from the Chinese mainland are touchier because of the two countries’ uneasy relations. This has kept the number of Sino-Japanese mergers and acquisitions low, even as China surpassed America in 2007 to become Japan’s largest trading partner.

Yet the volume of deals is now increasing. The number of purchases of Japanese firms by Chinese ones almost doubled last year and their value nearly quadrupled, albeit from low bases (see chart). The deals usually involve small firms with specialist technology, which sell a stake or a subsidiary rather than the whole company, typically for a few million dollars.

Chinese firms are not attracted by Japan’s stagnant domestic market, with its declining population and chronic overcapacity; they want to acquire technologies, skills and brands that can be brought back to China or used in other countries, says Heang Chhor, the head of the Tokyo office of McKinsey, a consultancy. In return, the Japanese firm may get not only capital and new management ideas, but also better access to the burgeoning Chinese market.

This is the case with Laox, an atrophying electronics retailer in which a Chinese franchisee and Suning, a big Chinese appliance retailer, recently bought a 51% stake. The new owners have revamped the firm’s Japanese stores to cater to Chinese tourists who flock to Tokyo to shop, and plan to open 110 Laox outlets in China over the next three years. By that time they expect sales in China to surpass those in Japan.

Importantly, the Chinese owners want to learn from Laox. They want to improve their relations with suppliers and bring Japan’s famed standards of service to China, says Luo Yiwen, Laox’s new boss, a Chinese national who has lived in Japan for two decades. Before the acquisition Laox’s share price had fallen as low as ¥10 ($0.11); it now trades at around ¥110.

Many Japanese are uneasy working for Chinese (much as Americans disliked working for Japanese carmakers in the 1980s). When Honma, a high-end golf-club maker, was acquired by China’s Marlion Holdings in March, the staff were “very shocked”, admits one employee. But the firm, whose clubs are handmade and individually numbered, had recently been in bankruptcy. “So we’re just happy to have jobs,” he adds. Honma’s sales are expected to boom as the new owner tempts China’s newly-rich golfers with its posh clubs. But the Japanese employee suspects that recruiting new workers at its factory in Sakata will be a problem: people would rather work for a completely Japanese firm.

In some cases, differences in business culture make the tie-ups unstable. In 2003 companies from China and Taiwan, along with a Japanese partner, paid ¥1.2 billion for a struggling producer of colour filters for LCD panels. But the new company, Japan Optical Display Technology, was shuttered after four years because of clashes. The Chinese owners were reluctant to pay for environmental compliance. Moreover, they tolerated manufacturing defects that the Japanese partner was unwilling to ignore, explains Osamu Mizoguchi, the former boss. “The philosophies on quality were too different,” he says.

Despite the difficulties, investors assume such deals will continue to proliferate. The expected appreciation of the yuan will fuel foreign deals by making them relatively cheaper (just as a strong yen did in Japan’s heyday in the 1980s). The fear of being bought, in turn, may be galvanising Japanese firms. Japanese businessmen are familiar with the concept of gaiatsu, or “foreign pressure” to change. But these days the pressure is coming as much from Chinese firms as from the Western ones to which the phrase has most commonly been applied.

Hewlett-Packard to Buy Palm for $1.2 Billion

Hewlett-Packard to Buy Palm for $1.2 Billion

By Ari Levy and Connie Guglielmo

Hewlett-Packard Co., the world’s biggest personal-computer maker, agreed to acquire Palm Inc. for about $1.2 billion, stepping up efforts to compete in the smartphone market.

The price of $5.70 a share represents a 23 percent premium over Palm’s closing price today. The transaction should be completed by the end of July, Palo Alto, California-based Hewlett-Packard said in a statement.

The Palm deal puts Hewlett-Packard back into contention with the world’s biggest smartphone makers, including Apple Inc. and Research In Motion Ltd. Hewlett-Packard’s current smartphone, called iPaq, hasn’t kept up with competitors in the market. The company also gets a Palm patent lineup that spans mobile hardware, software and power-saving technologies.

“This is a low-price, low-risk way for them to at least attempt to penetrate the smartphone market,” said Brian Alexander, an analyst for Raymond James & Associates Inc. He has a “strong buy” rating on Hewlett-Packard’s stock, which he doesn’t own. “We always wondered why they didn’t have much of a smartphone strategy.”

Goldman Sachs Group Inc. and Qatalyst Group are advising Palm on the transaction, and Bank of America Corp. is working with Hewlett-Packard.

Palm Pre

While Palm has a bigger slice of the phone market than Hewlett-Packard, it too has struggled to match the appeal of Apple’s iPhone, RIM’s BlackBerry and phones using Google Inc.’s Android software. The company’s Pre and Pixi phones, released last year in a comeback bid, didn’t sell as well as expected. The company has reported 11 straight quarterly losses.

After Palm introduced the Pre at the Consumer Electronics Show in January 2009, the stock jumped 80 percent in two days to $5.96 and climbed as high as $17.46 in September. The stock then dropped 74 percent, as Palm’s sales growth was outpaced by marketing costs and it lost market share to Apple and Google.

By March, when Palm said its current-quarter sales would be less than half of Wall Street estimates, some analysts began questioning the company’s viability.

“Clearly the market is extremely competitive and a lot of the competitors are very large,” Palm Chief Executive Officer Jon Rubinstein said today in an interview. “I’m still of the opinion that Palm could have continued on its own, but clearly with merging with H-P allows it to get to scale much, much, much faster.”

Better Reach

Palm was founded in 1992 by Jeff Hawkins and Donna Dubinsky and was part of 3Com Corp. until 2000. Its current operating system, called WebOS, was built by Rubinstein, who previously led development of Apple’s best-selling iPod media player. Rubinstein was recruited to Palm by Fred Anderson, Apple’s former finance chief and a co-founder of lead Palm investor Elevation Partners.

“H-P has better strategic reach, better marketing abilities and more resources to develop some of the technologies developed by Palm,” said Michael Cuggino, portfolio manager of San Francisco-based Permanent Portfolio Funds, which owns 520,000 shares of Hewlett-Packard.

Palm started selling its first WebOS phone, the Pre, in June 2009 and followed with the smaller, cheaper Pixi in November. The phones let users send e-mail, surf the Web, stream video and run multiple applications at the same time. Both devices were sold in the U.S. exclusively by Sprint Nextel Corp., the country’s No. 3 carrier, until Verizon Wireless began offering enhanced versions in January.

Today’s acquisition would reunite Palm with 3Com, which Hewlett-Packard purchased this month.

“This solidifies the portfolio of products they can offer an enterprise,” said Bill Kreher, an analyst at Edward Jones & Co. in St. Louis. He recommends buying Hewlett-Packard’s shares, which he doesn’t own. “You are combining the exciting technology from Palm and the scale and distribution capabilities of H-P.”

Hewlett-Packard to Buy Palm for $1.2 Billion

Palm Pre

Better Reach
